Draft — pending legal review

Falogis Advertising Terms

Draft — not yet dated for publication

These documents are provided as preliminary business/legal drafts and have not yet been reviewed or approved by a qualified legal practitioner.

These terms govern paid advertising on Falogis — sponsored listings, banners, event and business placements — and how they differ from ordinary marketplace listings.

1. Paid advertising is not an ordinary listing

Advertising on Falogis is a paid promotional placement bought from Falogis. It is separate from an ordinary marketplace listing, which any eligible seller may publish free of charge subject to moderation. Advertising placements are labelled as sponsored or promotional where they appear.

2. Advertiser eligibility

Advertisers must hold a valid Falogis account, provide accurate advertiser details, and be lawfully entitled to promote the goods, services or events advertised.

3. Advertising submissions

A submission includes the creative (title, subtitle, image), destination link, requested placement, campaign dates and the advertiser name. Submitting an advertisement is a request; it does not create a booking until Falogis approves it.

4. Ad approval

Every advertisement is reviewed before it can appear. Falogis may approve, request changes to, or reject a submission at its discretion, and may remove an advertisement after publication if it breaches these terms.

5. Prohibited advertisements

Advertising for prohibited items or services, unlawful activity, counterfeit goods, deceptive financial schemes, adult content, or anything that would breach the Prohibited & Restricted Items Policy is not accepted.

6. Restricted advertisements

Some categories — including regulated products, financial and health-related offers — require documentation, licences or additional checks before an advertisement can be approved. Falogis may decline where the required evidence is not provided.

7. Sponsored listings

A sponsored listing gives an existing marketplace listing additional prominence. The underlying listing must still satisfy the Marketplace & Seller Rules and remain approved; sponsorship never bypasses moderation.

8. Banner advertisements

Banner placements appear in defined areas of the platform. Creative dimensions, formats and content standards are set by Falogis and may change.

9. Event advertisements

Event placements promote a dated event or campaign. The advertiser is responsible for the accuracy of dates, venues, pricing and any ticketing arrangements, and for the event actually taking place.

10. Business advertisements

Business placements promote a store, brand or service provider. Claims about verification, certification, partnership or endorsement must be true and must not imply that Falogis guarantees the advertiser's goods or services.

11. Advertising placement

Placement, position, ordering and rotation are determined by Falogis, taking account of priority, campaign dates and available inventory. Falogis does not guarantee a specific position, impression volume, click-through rate or commercial outcome.

12. Campaign duration

Each campaign has a start date and, where applicable, an end date. A campaign runs only while it is approved, active and within its dates. Falogis may pause a campaign where a compliance concern arises.

13. Pricing

The price of a placement is the amount recorded against that advertisement when it is agreed. Prices may change for future bookings and are not retrospective for a campaign already agreed.

14. Currency

Advertising prices are quoted and recorded in a supported currency. The currency applicable to a placement is the one recorded on that placement. Falogis may support additional currencies as it expands into further markets.

15. Payment

Live online payment capture is not activated at the date of this draft. The platform records the price, currency and payment state of an advertisement, but does not currently charge cards or take live online payments. Any amount due is arranged separately until payment providers are activated.

16. Cancellation

An advertiser may request cancellation of a campaign. Falogis may cancel or withdraw a campaign that breaches these terms, is subject to a regulatory concern, or that can no longer be delivered.

17. Refunds

Because live payment capture is not activated, Falogis does not currently hold advertising funds. Where an amount has been paid by separate arrangement and the placement was not delivered, we intend to correct the position. Refunds are not given because a campaign did not achieve the commercial result the advertiser hoped for. Any future position follows the Payments & Refund Policy.

18. Rejected advertisements

A rejected submission does not run and no charge is properly due for it. Where the reason is fixable, the advertiser may submit a revised creative for review.

19. Misleading advertising

Advertisements must not be false, exaggerated or likely to mislead. Bait pricing, fake urgency, unsubstantiated superlatives, fake reviews and undisclosed material conditions are prohibited.

20. Intellectual property

The advertiser warrants that it owns or is licensed to use all text, images, logos, trade marks and other material supplied, and grants Falogis a licence to display that material for the purpose of running the campaign. See the Intellectual Property & Copyright Policy.

21. Advertiser responsibility

The advertiser is responsible for the content of its advertisement, for the destination page it links to, and for honouring any offer promoted. Falogis is not the seller or supplier of advertised goods or services unless expressly stated.

22. Regulatory compliance

Advertisers must comply with advertising, consumer protection, sector-specific and data protection law applicable in each market they target, including any mandatory disclosures or approvals.

23. Suspension and termination

Falogis may suspend or terminate advertising access for breach of these terms, repeated rejections, deceptive conduct, or where continuing would expose Falogis or its users to legal or reputational risk.

24. Dispute resolution

Advertising disputes should first be raised through the Falogis contact page so the records for the campaign can be reviewed. See the Complaints & Dispute Resolution Policy.

25. Liability

To the extent permitted by law, Falogis is not liable for loss of profit, loss of opportunity or indirect or consequential loss arising from advertising, and any liability it does have is limited to the amount recorded for the affected placement. This clause requires review by a qualified legal practitioner.

26. Governing law

This draft is prepared on the basis of the laws of the Federal Republic of Nigeria, where Falogis is operated from. The final governing-law and jurisdiction position is to be confirmed by a qualified legal practitioner.

Falogis is operated by F A Logistics Nigeria Limited. Questions about this draft can be sent through the Falogis contact page.
