Falogis Terms of Use

1. Acceptance of terms

By creating an account or using Falogis, you agree to these Terms of Use and to the other documents in the Falogis Legal Centre that apply to the parts of the platform you use. If you do not agree, please do not use the platform.

2. Eligibility

You must have the legal capacity to enter into a binding agreement in your country of residence, and you must not be barred from using the platform under any applicable law. Falogis may require additional verification for certain features.

3. Account registration

You agree to provide accurate registration information and to keep it up to date. Accounts are personal to you; you may not transfer or sell an account without our written consent.

4. Account security

You are responsible for keeping your credentials secure and for activity carried out through your account. Tell us promptly if you believe your account has been accessed without your authorisation.

5. Marketplace role definitions

Falogis recognises several participation levels, each with different access:

• Visitor — may browse public content only.
• Registered user — may buy, post buyer requests and, where enabled, sell.
• Subscriber — a registered user with an active paid plan and additional access, such as eligible requester contact details.
• Independent Partner — an approved third party who may be assigned Concierge work.
• Staff and Administrators — Falogis personnel who moderate content and operate the platform.

6. Buying

Falogis is a marketplace that connects buyers with third-party sellers. Unless expressly stated, Falogis is not the seller of items listed by other users and is not a party to the resulting contract between buyer and seller.

7. Selling

Sellers are responsible for the lawfulness, accuracy and availability of what they offer, for their own tax and regulatory obligations, and for honouring the terms they publish. The Marketplace and Seller Rules form part of these terms.

8. Listings

Listings must describe a real item or service that you have the right to offer. Falogis may edit, decline, unpublish or remove a listing that does not meet our standards.

9. Moderation

Listings, buyer requests, auction submissions and advertising are reviewed before publication and may be reviewed again afterwards. Review is an editorial and safety check; it is not a guarantee of quality, legality, authenticity or the outcome of any transaction.

10. Prohibited and restricted items

Categories and individual listings are classified as permitted, restricted or prohibited. Prohibited items may not be published on Falogis. Restricted items require additional checks before publication. Only Falogis staff may set or change a classification.

11. Subscriptions

Paid plans give access to additional features for the plan period. Plan features, prices and durations are shown at the point of purchase and may change for future periods. Access ends when a subscription expires, is cancelled or is suspended.

12. Buyer requests

Buyer requests let you describe what you are looking for. Public request summaries omit your contact details. Eligible subscribers may unlock contact details in accordance with the Urgent Buyer Request Terms.

13. Concierge

Concierge is an optional sourcing-assistance service that may involve a service fee and the assignment of an Independent Partner. Concierge assistance does not guarantee that an item will be found, or found at a particular price.

14. Independent Partners

Independent Partners are not employees or agents of Falogis. They are separate persons or businesses who accept assignments through the platform and are responsible for their own conduct, licensing and obligations.

15. Auctions

Where auctions are available, submission is limited to eligible subscribers and approved staff, and all bids are placed and validated through Falogis systems. Bids are binding offers to the extent permitted by applicable law. Falogis determines closing and the winning bid through its systems.

16. Advertising

Advertising placements and sponsored positions are clearly labelled and are subject to approval. Payment for a placement does not exempt an advertiser from these terms or from moderation.

17. Payments

Where payment processing is offered, it may be handled by third-party payment providers under their own terms. Amounts may be presented in more than one currency. Falogis does not store full payment card details.

18. Refunds

Refunds of platform fees, subscriptions and advertising are handled under the Payments and Refund Policy. Refunds for goods and services supplied by other users are a matter between you and that user, subject to applicable consumer law.

19. Intellectual property

The Falogis name, logo, interface and software are owned by F A Logistics Nigeria Limited or its licensors. You may not copy, scrape or reuse them without permission.

20. User-generated content

You keep ownership of the content you upload. You grant Falogis a non-exclusive licence to host, display and distribute that content for the purpose of operating and promoting the platform. You confirm you have the rights needed to grant that licence.

21. Fraud and abuse

Deceptive listings and requests, impersonation, price manipulation, bid manipulation, spam, harassment, scraping, automated abuse and attempts to interfere with platform security are prohibited.

22. Account suspension

Falogis may restrict, suspend or downgrade access where we reasonably believe these terms have been breached, where there is a security or fraud risk, or where we are required to do so by law.

23. Termination

You may close your account at any time. We may terminate accounts for serious or repeated breaches. Some records may be retained after termination where we are required or permitted to keep them.

24. Disclaimers

The platform is provided on an as-is and as-available basis. Falogis does not warrant uninterrupted availability and does not verify every statement made by users.

25. Limitation of liability

To the maximum extent permitted by applicable law, Falogis is not liable for indirect or consequential loss arising from your use of the platform or from dealings with other users. Nothing in these terms excludes liability that cannot lawfully be excluded.

26. Dispute resolution

Please raise complaints with Falogis first so we can attempt to resolve them. Unresolved disputes are handled under the Complaints and Dispute Resolution Policy.

27. Governing law

This draft is prepared for review under the laws of the Federal Republic of Nigeria, where F A Logistics Nigeria Limited is incorporated. Where Falogis operates in other markets, additional local terms may apply to users in those markets.

28. Changes to these terms

We may update these terms as the platform develops. Material changes will be notified through the platform, and continued use after the effective date means you accept the updated terms.
