Falogis Auction Terms

These terms explain how the Falogis auction module works for sellers and bidders, what the platform does, and what it does not do.

1. Auction eligibility

The auction module is available to registered account holders in good standing. Some functions are limited to subscribers and to items that have passed moderation.

2. Subscriber requirement for sellers

Submitting an item to auction requires an active qualifying subscription. This requirement is enforced by the platform and cannot be bypassed from the interface.

3. Item submission

A submitted item must be accurately described, must be owned by you or offered with the owner's authority, and must include a starting price, currency and minimum bid increment. Submission does not create a live auction.

4. Moderation

Every submitted item is reviewed by Falogis before it can be scheduled or made live. Falogis may reject an item, ask for changes, or withdraw an item at any stage.

5. Prohibited and restricted items

Items classified as prohibited may not be auctioned and cannot become publicly visible. Restricted items may require additional documentation or verification before approval. Classification is controlled by Falogis staff. See the Prohibited & Restricted Items Policy.

6. Starting price and reserve

The starting price is the lowest amount at which bidding may open. Where a reserve price is used, the item need not be sold if bidding does not meet it. Reserve information is not published to bidders.

7. Minimum bid increment

Each auction sets a minimum increment. A new bid must be at least the current highest bid plus that increment, or the starting price where no bid has been placed.

8. Bidder eligibility

You must be signed in to bid. You may not bid on your own item, and you may not bid through another account, associate or arrangement in order to influence the price.

9. Bidding rules

Bids are placed in the currency of the auction, are validated by the platform, and are accepted only while the auction is live and within its start and end times. Bids that fail validation are not recorded.

10. Bid validity and finality

A recorded bid is a serious offer and is not editable or retractable through the platform. Bid records are held on the platform and cannot be altered by sellers or bidders.

11. Outbidding

A bid may be exceeded by another bidder at any time while the auction is live. Being outbid creates no entitlement or compensation.

12. Auction start and end

Start and end times are set by Falogis when an approved item is scheduled. Falogis may reschedule, pause or cancel an auction, including for technical, legal or moderation reasons.

13. Winning bid

Subject to any reserve, the highest valid bid at closing is the winning bid. Falogis records the winner and the winning amount when the auction is closed.

14. Auction closure

Auctions are closed by Falogis. Closure records the outcome and moves the item out of live bidding. Closure is an administrative action and is logged.

15. Payment — current position

Live payment capture and settlement are not enabled on Falogis at the date of this draft. Amounts recorded against an auction, including any platform fee, seller amount, payment status or payout status, are records only. Payment for a won item is arranged directly between the parties unless Falogis states otherwise in writing.

16. Settlement — future functionality

Falogis intends to introduce settlement and payout handling. The mechanics described in any future version of these terms will apply only once that functionality is live and clearly presented to users. Nothing in this draft should be read as a statement that automated settlement operates today.

17. Cancellation

A seller may withdraw an item before it goes live. Once an auction is live, withdrawal is at Falogis's discretion. Repeated withdrawal after bids have been placed may lead to loss of auction access.

18. Failed transactions

If a winning bidder does not complete, or a seller does not deliver, the parties should attempt to resolve the matter directly. Falogis may record the outcome and take account of it in future eligibility decisions.

19. Refunds

Because live payment settlement is not operational, Falogis does not currently hold auction funds and cannot refund them. Any future refund position will be governed by the Payments & Refund Policy.

20. Disputes

Disputes should be raised first with the other party and then reported through Falogis. We may review platform records, including bid history and moderation decisions, but we do not act as a court or arbitrator.

21. Fraud

Misrepresenting an item, impersonation, advance-fee schemes, payment redirection and any other deceptive practice are strictly prohibited and may be reported to the authorities.

22. Manipulation and prohibited bidding behaviour

Shill bidding, bid shielding, coordinated bidding, automated bidding scripts, and bidding with no intention to complete are prohibited. Falogis may cancel affected bids or auctions and restrict accounts involved.

23. Platform fees where applicable

Falogis may apply a platform fee to a completed auction. Where a fee applies it will be shown in the auction record. No fee is collected automatically while payment processing is disabled.

24. Seller obligations

Describe the item honestly, respond to the winning bidder promptly, honour the sale at the winning price, and comply with the laws that apply to you, including licensing, product safety and tax obligations.

25. Buyer obligations

Bid only what you are willing and able to pay, complete promptly, inspect where practical, and deal with the seller in good faith.

26. Falogis's marketplace role

Falogis provides the auction platform and moderates items. Falogis is not the seller of third-party items, is not a party to the resulting contract, does not act as auctioneer's agent for the buyer, and gives no warranty as to title, quality, description, delivery or outcome.

27. Limitation of liability

To the extent permitted by law, Falogis is not liable for loss of profit, loss of opportunity, or indirect or consequential loss arising from auction participation, and any liability we do have is limited to amounts you have actually paid to Falogis for the relevant service. This clause requires review by a qualified legal practitioner.

28. Governing law

This draft is prepared on the basis of the laws of the Federal Republic of Nigeria, where Falogis is operated from. The final governing-law and jurisdiction position is to be confirmed by a qualified legal practitioner.
