Falogis Marketplace Partner Terms

These terms describe the intended relationship between Falogis and Marketplace Partners, what Partners may and may not do, and where Falogis's responsibility ends and a Partner's begins.
1. Purpose of this document
This draft sets out the intended relationship between Falogis and Marketplace Partners who carry out sourcing, verification or assistance work in connection with Falogis Concierge and related services. The legal characterisation of that relationship is to be confirmed by a qualified legal practitioner before launch.
2. Partner eligibility
Partner status is available to individuals or businesses that can lawfully provide the relevant services in their market, that can be identified and verified, and that agree to these terms and the Falogis Terms of Use.
3. Onboarding
Applicants provide business details, coverage areas and contact information, and submit their application for review. No Partner rights arise until an application is approved.
4. Verification
Falogis may require identity, business registration, licensing or other supporting documents. Documents are stored privately and are accessible only to the Partner and authorised Falogis staff. Falogis may re-verify at any time and may suspend a Partner pending verification.
5. Intended relationship and independence
The relationship is intended to be that of an independent service provider engaged on a job-by-job basis, not employment. This draft records that intention; it is not a legal determination. Employment, agency and worker-status questions must be reviewed by counsel in each market before this wording is relied on.
6. No automatic employment relationship
Approval as a Partner is not an offer of employment and does not by itself create an employment contract, entitlement to salary, benefits, leave, pension or termination protections.
7. No authority to bind Falogis
A Partner has no authority to enter into contracts, make commitments, give guarantees, settle claims, or otherwise create obligations for or on behalf of Falogis or F A Logistics Nigeria Limited.
8. Permitted activities
Carrying out assigned Concierge jobs, communicating with the assigned customer through the platform, posting progress updates, and completing the agreed task within the agreed scope and timeframe.
9. Prohibited activities
Taking customers off-platform to avoid Falogis processes, soliciting unrelated business from platform contacts, misrepresenting your status or approval, subcontracting an assigned job without authorisation, and any unlawful activity.
10. No unauthorised collection of Falogis funds
A Partner must not collect, request or receive any payment described as a Falogis fee, deposit, commission or charge unless Falogis has authorised that collection in writing. Requests for payment into personal accounts in the name of Falogis are strictly prohibited.
11. No unauthorised representations
A Partner must not describe themselves as an employee, officer, agent or representative of Falogis, must not use Falogis branding beyond any permitted Partner badge, and must not make promises about outcomes, refunds, guarantees or verification that Falogis has not given.
12. Customer interactions
Partners must communicate professionally, keep to the scope of the assigned job, avoid pressure or misleading statements, and record material progress through the platform so there is a clear record.
13. Confidentiality
Information obtained through an assignment — customer details, request contents, pricing discussions and platform information — is confidential and may be used only to perform the assignment.
14. Personal-data handling
Partners must handle personal data lawfully, use it only for the assigned job, keep it secure, not share or sell it, and delete or return it when it is no longer needed. Data protection responsibilities of each party are to be confirmed on legal review.
15. Fraud prevention
Partners must not participate in or facilitate fraud, must report suspected fraud promptly, and must never request passwords, one-time codes or banking credentials from customers.
16. Conflicts of interest
Partners must disclose any interest that could affect their impartiality on an assignment, including a personal or commercial relationship with a supplier being recommended.
17. Customer complaints
Complaints about a Partner may be reviewed by Falogis. Partners are expected to cooperate, respond factually, and take reasonable corrective steps. Internal Falogis notes about a job are not shared with Partners or customers.
18. Records
Partners should keep accurate records of work performed and costs incurred for each assignment, and provide them to Falogis on reasonable request in connection with a complaint, audit or legal requirement.
19. Ratings and performance
Customers may rate completed jobs. Ratings, completed job counts and complaint history may be used in assignment and eligibility decisions.
20. Suspension
Falogis may suspend Partner access where verification lapses, where misconduct is alleged and under investigation, or where suspension is needed to protect customers or the platform.
21. Termination
Either party may end the relationship. Falogis may terminate immediately for fraud, unlawful conduct, serious misrepresentation, misuse of customer data or repeated breach. Termination does not affect obligations already accrued, including confidentiality.
22. Misconduct
Misconduct includes dishonesty, abuse of customers, unauthorised fee collection, falsifying updates or documents, and circumventing platform controls.
23. Liability
A Partner is responsible for the way they perform an assignment and for their own compliance obligations. Falogis provides the platform and assignment process and does not warrant the outcome of any Partner's work. The allocation of liability between Falogis, Partners and customers is flagged for legal review.
24. Indemnity concepts for legal review
The intention is that a Partner should stand behind losses caused by their own unlawful acts, fraud, breach of these terms or misuse of personal data. The precise indemnity, insurance and cap provisions are placeholders for counsel to settle and are not final.
25. Applicable law
This draft is prepared on the basis of the laws of the Federal Republic of Nigeria. Where Partners operate in other markets, local employment, agency and consumer law must be reviewed before these terms are used there.
26. Dispute resolution
Disputes should first be raised through the Falogis contact page and dealt with in good faith. Any escalation route, including mediation or arbitration, is to be settled by counsel.
